Terms of Use

1. Introduction and Acceptance

These Terms of Use (‘Terms’) govern your access to and use of the BizBuyScore website, platform, tools, and all associated services (collectively, the ‘Platform’) operated by Boon Han Yeo ABN: 90 816 553 130, trading as BizBuyScore (‘BizBuyScore’, ‘we’, ‘us’, ‘our’).

By accessing or using the Platform — including by ticking the acknowledgement checkbox on the free calculator or by creating an account — you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Platform.

If you are using the Platform on behalf of a business, you represent that you have authority to bind that business and that the business agrees to these Terms.

2. Nature of the Service — General Information Only

BizBuyScore provides the Business Attractiveness Score (BAS Score) and all associated outputs, flags, sub-scores, benchmarks, and commentary (collectively, ‘Outputs’) as general information only.

2.1 What BizBuyScore is not

Outputs do not constitute, and must not be construed as:

• ‘financial product advice’ within the meaning of s 766B of the Corporations Act 2001 (Cth);
• a recommendation to acquire, hold, or dispose of a financial product within the meaning of s 766A of the Corporations Act 2001 (Cth);
• investment advice, legal advice, tax advice, accounting advice, or a business valuation;
• a recommendation, opinion, or endorsement of any kind; or
• advice that takes into account your individual objectives, financial situation, or needs.

2.2 AFSL status

BizBuyScore does not hold an Australian Financial Services Licence (AFSL) and is not authorised under s 911A of the Corporations Act 2001 (Cth) to provide financial product advice. BizBuyScore is not a financial adviser, business broker, lawyer, accountant, registered tax agent, or fiduciary.

2.3 Informational character

Outputs are generated solely from user-supplied inputs and pre-set industry benchmarks. BizBuyScore does not independently verify any data you enter. Outputs may be incomplete, inaccurate, or not applicable to your circumstances. Industry benchmarks are indicative only, derived from published market data, and are subject to change without notice.

2.4 Independent advice

You must seek independent legal, financial, accounting, tax, and commercial due diligence advice, tailored to your specific circumstances, before making any business acquisition or investment decision.

3. No Misleading Conduct

BizBuyScore conducts its business in compliance with s 18 of the Australian Consumer Law (‘ACL’), Schedule 2 to the Competition and Consumer Act 2010 (Cth), which prohibits misleading or deceptive conduct in trade or commerce, and s 12DA of the Australian Securities and Investments Commission Act 2001 (Cth), which prohibits misleading or deceptive conduct in relation to financial services.

All Outputs are presented as tools to assist structured, comparative evaluation of potential business acquisitions. They are not statements of fact, predictions, or valuations, and must not be treated as such.

4. No Reliance

You expressly acknowledge and agree that:

• you will not rely on any Output, score, flag, benchmark, or commentary produced by the Platform as the sole or primary basis for any business, investment, or acquisition decision;
• Outputs are one input among many in a due diligence process and must be verified against primary source financial documents, third-party valuations, and independent professional advice;
• BizBuyScore makes no representation that any BAS Score accurately reflects the true financial position, value, risk profile, or commercial viability of any business; and
• the Platform is not a substitute for professional due diligence.

5. User Responsibilities

5.1 Accuracy of inputs

You are solely responsible for the accuracy, completeness, and currency of all data you enter into the Platform. BizBuyScore is not responsible for any BAS Score or Output that results from inaccurate, incomplete, or misleading inputs.

5.2 Acquisition decisions

All business acquisition decisions, and all consequences of those decisions, remain your sole responsibility. BizBuyScore has no involvement in, and accepts no responsibility for, any transaction you enter into.

5.3 Acceptable use

You must not use the Platform for any unlawful purpose, in any manner that could damage, disable, or impair the Platform, or to input data you do not have the right to use or that is false or misleading.

6. PDF Extraction Methods (Pro Plan)

6.1 General

The Pro plan offers three PDF extraction methods for processing uploaded information memoranda (‘IMs’). Your selected method is saved to your account and applied to all uploads until changed. New accounts default to the Local Rules-Based Extractor.

6.2 Online LLM Extraction — Third-Party Data Processing

Where you select the Online LLM extraction method:

1. Your uploaded PDF will be transmitted to and processed by a third-party AI provider (‘Third-Party Provider’). BizBuyScore currently uses Anthropic PBC as its Third-Party Provider. BizBuyScore may change its Third-Party Provider at any time, provided the privacy profile of the replacement service is materially equivalent or advance notice is given to Pro users.
2. By selecting this method and uploading a document, you expressly consent to the overseas disclosure of document content to the United States under APP 8 of the Privacy Act 1988 (Cth).
3. You warrant that (a) you have the right to transmit the document to a third-party AI service; (b) doing so does not breach any confidentiality agreement, NDA, court order, professional obligation, or applicable law; and (c) the document does not contain sensitive personal information (as defined in s 6 of the Privacy Act 1988 (Cth), including health information, tax file numbers, financial account details, racial or ethnic origin, political opinions, religious beliefs, sexual orientation, or biometric data) of any identifiable individual, beyond what ordinarily appears in a commercial IM.
4. To the maximum extent permitted by law, BizBuyScore excludes all liability for any privacy breach, confidentiality breach, data loss, or damage arising from your use of this method or from transmission of document content to the Third-Party Provider.
5. BizBuyScore does not control and cannot guarantee how the Third-Party Provider handles, processes, stores, or deletes document content once transmitted. The Third-Party Provider’s own terms of service and privacy policy govern its handling of submitted content.
6. You indemnify BizBuyScore against any claim, loss, damage, liability, or expense arising from your unlawful or unauthorised use of the Online LLM extraction method, including breach of any confidentiality obligation.

6.3 Local Extraction Methods

Where you select the Local Rules-Based Extractor or Local LLM (when available), all extraction is performed within BizBuyScore’s own infrastructure. No document content is transmitted to any external service or third-party provider.

The Local Rules-Based Extractor uses pattern-matching. The Local LLM, when available, is expected to provide comparable accuracy to Online LLM extraction, but this is not guaranteed.

6.4 Accuracy and Verification

Regardless of extraction method, all extraction outputs may be incomplete, incorrect, or misinterpreted. You must review and verify all extracted data before generating a BAS Score. BizBuyScore provides no warranty as to the accuracy of any extraction. BizBuyScore is not responsible for errors in any Output that result from inaccurate extracted data.

7. Third-Party Data and Services

The Platform uses industry benchmark data derived from publicly available market sources. BizBuyScore does not warrant the accuracy, currency, or completeness of third-party data.

The Platform may contain links to third-party websites. BizBuyScore is not responsible for the content, accuracy, or privacy practices of any third-party site.

BizBuyScore does not control and cannot guarantee the performance, availability, or data-handling practices of any third-party service integrated with the Platform.

8. Intellectual Property

All intellectual property in the Platform, including the BAS scoring methodology, industry benchmarks, software, design, and content, is owned by or licensed to Boon Han Yeo ABN: 90 816 553 130 (trading as BizBuyScore).

You retain ownership of all data you upload to the Platform. You grant BizBuyScore a limited, non-exclusive licence to process and use your uploaded data solely for the purpose of providing the services described in these Terms.

You must not reproduce, adapt, distribute, or create derivative works from any Platform content without our prior written consent.

9. Privacy and Data

BizBuyScore handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (‘APPs’) in Schedule 1 of that Act. Our full Privacy Policy is available at bizbuyscore.com/privacy and forms part of these Terms.

By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

10. Subscriptions, Billing, and Cancellation

10.1 Free plan

The free plan is available at no cost, subject to usage limits described on the pricing page. BizBuyScore reserves the right to change free plan limits at any time on reasonable notice.

10.2 Pro plan

The Pro plan is currently available at no charge for a limited launch period. When billing commences, BizBuyScore will give existing Pro users advance notice before the first charge. Standard pricing is A$15/month.

10.3 Cancellation

You may cancel your Pro subscription at any time from Account Settings. Pro access continues until the end of the current billing period. Existing evaluation data is not deleted on cancellation; free plan limits apply from the next billing cycle.

10.4 Refunds

Refund requests are assessed in accordance with the ACL. Nothing in these Terms limits any right you may have to a refund under the ACL that cannot be excluded by agreement. Contact hello@bizbuyscore.com for refund enquiries.

11. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify BizBuyScore at hello@bizbuyscore.com of any suspected unauthorised access to your account.

BizBuyScore is not liable for any loss arising from unauthorised use of your account where you have failed to take reasonable steps to protect your credentials.

12. Exclusion of Warranties

To the maximum extent permitted by applicable Australian law, BizBuyScore excludes all implied warranties, representations, and conditions in relation to the Platform and its Outputs.

Where any guarantee, warranty, or condition is implied by law and cannot be excluded (including under the ACL), BizBuyScore’s liability for a breach of that guarantee is limited, at BizBuyScore’s election, to re-supplying the relevant service or paying the cost of having the service re-supplied, to the extent permitted by s 64A of the ACL.

Certain consumer guarantees under the ACL cannot be excluded, restricted, or modified. Nothing in these Terms is intended to do so.

13. Limitation of Liability

To the maximum extent permitted by applicable Australian law, Boon Han Yeo ABN: 90 816 553 130 (trading as BizBuyScore) and their employees, contractors, and agents are not liable for any loss or damage of any kind arising out of or in connection with your use of or reliance on the Platform or any Output, including:

• direct, indirect, incidental, consequential, or special loss or damage;
• loss of profits, revenue, data, or business opportunity;
• business interruption; or
• loss arising from reliance on any Output in connection with a business acquisition,

whether based in contract, tort (including negligence), statute, or otherwise.

This limitation does not apply to: (a) death or personal injury caused by BizBuyScore’s negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be excluded under the ACL or any other applicable Australian law.

14. Indemnification

You agree to indemnify and hold harmless Boon Han Yeo ABN: 90 816 553 130 (trading as BizBuyScore) and their employees, contractors, and agents from and against any claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Platform in a manner not authorised by these Terms; or (c) your unlawful or unauthorised upload of any document via the Online LLM extraction method.

15. Modifications

BizBuyScore may modify these Terms at any time. For material changes, we will provide notice by email (to registered users) and by an in-app notification. Continued use of the Platform after the effective date of revised Terms constitutes acceptance. Where changes are material, existing users will be prompted to re-accept before accessing the Platform.

16. Termination

BizBuyScore may suspend or terminate your account if you breach these Terms or use the Platform in a manner that is harmful, fraudulent, or unlawful. We will provide notice where practicable.

You may close your account at any time from Account Settings. On closure, your evaluation data may be retained for up to 90 days before deletion, in accordance with the Privacy Policy.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales for the resolution of any dispute arising out of or in connection with these Terms or your use of the Platform.

18. Dispute Resolution

Before initiating formal proceedings, you agree to notify BizBuyScore in writing of any dispute and allow 30 days for the parties to attempt resolution in good faith. This clause does not prevent either party from seeking urgent injunctive or other interlocutory relief.

19. General

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision is severed and the remaining provisions continue in full force.

Waiver: Failure by BizBuyScore to enforce any provision does not constitute a waiver of that provision.

Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and BizBuyScore regarding use of the Platform and supersede all prior agreements.
